Want to own the future of management?

The month of April will be filled with happiness challenges from one of the Happy Melly brands Management 3.0. About a dozen of the more than 200 facilitators are writing blogposts and setting up and leading our community in challenges and experiments, all surrounding topics of leadership and management.

But before that week begins, we actually have something exciting happening right now. As in only two days left for you to buy in… Do you want to own a piece of Management 3.0?

Jurgen Appelo, the founder of both Happy Melly and Management 3.0, is working on his next project Agility Scales. In order to both fund that venture and to have time to make it happen, Jurgen has decided to share Management 3.0 with the world via co-ownership.

Until this March 15, Jurgen’s business Jojo Ventures BV (BV is like LLC in Dutch) owned Happy Melly One BV, the company that runs both the Happy Melly and Management 3.0 brands. Now Jurgen (and his hard-working attorney) has converted the Happy Melly One, BV umbrella business into a Foundation with sellable shares.

The Foundation fully owns all real shares in the company. The Foundation has issued virtual shares or certificates for which the Foundation keeps a registry, which is fully open and transparent and available to the public. For the Management 3.0 brand, operated by Happy Melly One BV, the Foundation issued 10,000 certificates. Initially, all certificates were issued by the Foundation to Jojo Ventures BV, but since March 19 have been able to be sold to outsiders.

Jurgen explained the thought process of going this route. “Primary reason was to be agile with sale of ownership. Dutch law requires notary involved in every transaction. But not when it’s transformed into certificates via a Foundation. Also, Dutch law is specific about rights [and] duties of shareholders. With certificates you have freedom to fill this in yourself.”

Jurgen has decided to sell up to 75 percent of his ownership in the Foundation, so he continues to be involved with both the Management 3.0 and Happy Melly brands, but at much less of a commitment.

As our new Business Development Person Robert Claeson explained, “Normally, selling shares in a Dutch company would require a notary to be involved to certify all documents. It would be impractical, and costly, to sell shares outright. We are instead going about it in a different way. A Foundation now owns all the shares. It issues certificates for those shares, where one certificate equals one share. According to Deloitte, this is a quite normal practice in the Netherlands.”

Each of the 10,000 certificates costs €50 and you can sign up for your shares here before day’s end (Central European Time) March 31, 2017.

Since we are a transparent-by-default company — including financial transparency — and you want to know what you’re buying into, here are some numbers about Management 3.0, only reflecting the sale of annual facilitator licenses and courseware licensed out:

  • 2014: Revenue = €140,000 
  • 2015: Revenue = €200,000
  • 2016: Revenue = €290,000 (projected, our new Finance Queen Tahira is still sorting us out)

And to give you an insight into the potential of success for the Management 3.0  brand, we have already had 40 facilitators join us this first quarter of 2017. And, though that’ll be another blogpost for another day, we are working hard to make the Happy Melly brand break even and to become independently profitable.

Based on the company’s revenue growth, the lack of debt, a flexible, freelance workforce, and what Jurgen describes as “easily tweak-able profits,” Jurgen estimates that the business is worth €500,000 at this time. (Hence 10,000 certificates, up to 7,500 of which are eligible for purchase at €50 each.) 

Why are we talking about this at Happy Melly even if we don’t benefit from it financially? Well, for one, it’s certainly an interesting development that other small businesses and creative startups may want to experiment and model after. Also as Jurgen explained:

“I believe that having many owners, instead of just one, will increase the network potential for the Management 3.0 brand. Many more people will now feel concerned about the success of the brand. Second, I get compliments from people for how I set this up — with virtual shares, transparency, and a Foundation. In other words, it is good marketing. The arrangement fits the brand itself. Third, I will re-invest all income in my Agility Scales project. That project is going to promote Management 3.0 practices and will, of course, be a Happy Melly member [brand.]”

But, in a nutshell, if you believe that Management 3.0’s practices are thinking toward the future of management and you want to be a part of it, then NOW is your opportunity. Why now? Until 31 March 2017, Jurgen sell these virtual shares or certificates for €50 per share. On 1 April 2017, he’ll stop selling them for a while. He may sell more shares later, but probably at a higher price.

And not to put the 48-hour pressure on anymore, but as of yesterday, there were 72 official co-owners. A total of 256 people and organizations had applied from 45 different countries (a lot of them happen t be Management 3.0 facilitators.) An application is only accepted and official ownership designated when there’s both a signed agreement and payment.

As of yesterday evening, Jurgen still owned 63 percent of the business, but when everyone who has applied also signs and pays, he would end up with around a third of the shares. That means you not only have a mere two days left to sign (as of when this was published), you also have fewer and fewer shares to draw from. So what are you waiting for?
